Terms of Service

Wound Care Consultants Ltd (“WCC”)
Knowledge, Experience in Healing Wounds. Company Registration: 09217829 (England and Wales).
1. Services Provided
WCC provides services as an independent contractor. Depending on the Client’s request,
we carry out client-requested clinical assessments; Tissue Viability Nurse (TVN) training;
Expert Witness services; wound care audits; advice on product development; report
writing; and referral documentation. From the agreed-upon date, WCC will perform the
services requested by the Client using reasonable skill and care. Formal timescales for
written reports will be agreed upon in writing prior to the service date.
2. Fees, Invoicing, and Payment
2.1 Standard Payment Terms
The Client assumes wholly and exclusively the responsibility for payment. Fees
are not conditional on any external funding. The Client agrees to pay all invoices
in full and strictly within 30 days from the invoice date (“the due date”) unless
alternative times have been agreed.. WCC will not be paid for any period when
services are not provided, regardless of the reason.
2.2 Expenses
WCC is responsible for all expenses incurred while performing the Services unless
agreed differently in writing in advance, including mileage or specific travel costs.
2.3 Cancellations
The Client must provide WCC with at least 48 hours’ notice for any cancellations.
Failure to provide this notice will result in a 50% fee remaining payable to WCC.
2.4 Late Payments
If payment is late, in whole or in part, WCC reserves the right to refuse
additional instructions or demand advance payment; refuse to continue or
commence any requested work; cancel all existing credit agreements and collect
the full outstanding amount; outsource the collection of arrears to a third party,
charging the Client all incurred fees and costs (currently set at 18.5% of the
amount due); and charge interest, compensation, and reasonable costs in
accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3. Expert Witness Specific Terms
When providing Expert Witness services, WCC acts with objectivity and independence,
holding our primary duty to the court being paramount.
3.1 Documents and Medical Records
The Instructing Party must retain a full set of all original Documents & Records,
providing only a duplicate bundle to the Expert Witness. The Instructing Party
agrees that all submitted documents will be securely disposed of. If submitted
medical records or notes are not sorted to an acceptable or professional
standard, WCC reserves the right to refuse to proceed until they are resubmitted
in proper order, or to apply an additional charge based on our hourly rate for the
extra sorting time.
3.2 Withdrawal of Case
If at any time a case is withdrawn, the Instructing Party remains liable to
reimburse WCC for all fees and costs incurred up to the date formal written
notification is received.
4. Confidentiality and Data Protection (GDPR)
WCC complies with the Data Protection Act and GDPR regarding confidential
information. WCC guarantees to store Client and patient information securely. We agree
not to use, disclose, or allow the use of confidential information without the Client’s
prior written consent. Joint Data Controllers (Expert Witness): In accepting instructions,
the Instructing Party agrees to be a data controller jointly with WCC for the submitted
personal data. The Instructing Party agrees to handle and respond to any subject
access requests or other data subject requests on behalf of both parties. Any requests
received by WCC regarding this submitted data will be forwarded to the Instructing
Party to resolve.
5. Intellectual Property Rights
The Rights of Ownership of all Property, including Documents, Reports, Intellectual, and
Physical property produced by WCC, remains fully vested in WCC unless otherwise
explicitly agreed in writing. The Client/Instructing Party cannot transfer rights to make
use of this property to any Third Party outside of this agreement without WCC’s explicit
written consent. Any Third Party found making use of this property without explicit
written agreement will be deemed liable to pay WCC their full value, quantified as the
originally agreed fee, regardless of whether the Instructing Party has already paid for
them.
6. General Provisions
Legal Correspondence: No correspondence addressed to WCC will be of legal effect until
receipt of it is explicitly acknowledged by us. Future Instructions: All further instructions
in respect to a case will be deemed covered by this agreement and quoted in
accordance with our current fee structure.
7. Governing Law and Jurisdiction
This Agreement shall be governed by and interpreted according to the laws of England
and Wales. All disputes arising under this Agreement, including non-contractual disputes
or claims, shall be subject to the exclusive jurisdiction of the English and Welsh courts.
